ALUMNI WEBSITE TERMS OF USE 

PLEASE READ THESE TERMS OF USE BEFORE USING THE ALUMNI WEBSITE 

Welcome to the Hogan Lovells Cadwalader Alumni Website (the “Site”). This service is provided by Hogan Lovells Cadwalader US LLP, Hogan Lovells Cadwalader International LLP and their affiliated entities (“Hogan Lovells Cadwalader”, “we” or “us”) for the benefit of current and former members of Hogan Lovells Cadwalader, including Cadwalader, Wickersham & Taft LLP and its associated entities. 

All use of this Site is governed by these terms. All users must read these terms before making any use of the Site. 

In these terms, the expressions “you” and “your” refer to each user of the Site. These terms may be changed at any time (see Section 10). All use of the Site shall be governed by the terms in effect at the time when use of it is made. 

1. ACCESS TO THE SITE 

1.1 You must register in order to gain access to the Site. Access is permitted at the discretion of Hogan Lovells Cadwalader, and is in any event limited to current members of Hogan Lovells Cadwalader and former members of Cadwalader, Wickersham & Taft. 

1.2 You must ensure that you keep strictly confidential all means of access to the Site, including your username, password and any relevant security certificates and tokens. You must not share these with any other person. 

1.3 Hogan Lovells Cadwalader reserves the right at any time to: 
(a) make any changes to the Site;
(b) curtail or stop access to the Site or any materials on the Site (whether by an individual user by all users); or
(c) change the mode of access to the Site, including changes to any related security procedures.

2. USE OF THE SITE 

2.1 You may use the Site and the material contributed to the Site (“the Material”) for the purposes of enjoying the services offered by the Site, in particular the opportunity to keep in touch with Hogan Lovells Cadwalader and other Cadwalader alumni. 

2.2 The Material has been contributed only for the purposes of the normal use of the Site. You must not use the Material for any other purpose.

2.3 While Hogan Lovells Cadwalader endeavors to monitor its systems in order to detect the presence of viruses or other harmful material, it cannot guarantee that any such viruses or material will not affect the Site. 

2.4 Some Material may contain links to websites which are not maintained by Hogan Lovells Cadwalader. Hogan Lovells Cadwalader is not responsible for the content of those sites. 

3. MATERIAL CONTRIBUTED TO THE SITE 

3.1 If you choose to make contributions to the Site you agree that those contributions may be freely shared with others who have been granted access to the Site (“Members”). This may include sharing such Material with users located in any part of the world. In particular, you agree that any photograph which you may contribute may be shared with other Members. Members may be current members of Hogan Lovells Cadwalader, or alumni of any of its predecessor firms. 

3.2 You represent that:
(a) the Material you contribute to the Site will be factually accurate; and
(b) you have all necessary rights (including intellectual property rights) in the Material you contribute in order for the Material to be used in conjunction with the Site in the manner contemplated in these terms.

3.3 If the Site includes a discussion forum, you will ensure that all data which you contribute to that forum is appropriate in both tone and content. Hogan Lovells Cadwalader reserves the right to revoke access to a discussion forum where it appears that this principle may have been breached by any person. 

3.4 Hogan Lovells Cadwalader does not assume any responsibility to screen or inspect Material uploaded to the Site, but reserves the right to reject or delete any Material which it deems to be irrelevant, offensive or otherwise unsuitable for use. Hogan Lovells Cadwalader may also change or re-arrange Material where it considers this to be necessary or desirable for the purposes of the proper functioning of the Site. 

4. SUPPORT 

From time to time Hogan Lovells Cadwalader may need to allow its technical administrators and/or contractors supporting the Site to have access to the Site and, if necessary, to the Material on the Site, in order to conduct necessary fault diagnosis and maintenance work. They may also need access to your contact details for this purpose. All support personnel allowed to have access to the Site will do so under the terms of confidentiality undertakings. 

5. EXCLUSION OF LIABILITY 

5.1 Hogan Lovells Cadwalader makes the Site available as a service to current members of Hogan Lovells Cadwalader and former members of Cadwalader, Wickersham & Taft. Hogan Lovells Cadwalader is not responsible for the Material contributed to the Site and also does not guarantee that access to the Site will be available at any specific time or for any specified period of time. It assumes no liability towards any third party. 

5.2 Accordingly, Hogan Lovells Cadwalader excludes (on the part of itself, its staff and its clients) all liability for any claim or cause of action, including without limitation any action in misrepresentation or negligence, arising out of: 
(a) the content, accuracy or completeness of the Material which is uploaded to the Site; and
(b) any claim concerning access to the Site or the availability of the Site.

5.3 Notwithstanding the exclusions of liability set out above, in no circumstances shall the liability of Hogan Lovells Cadwalader to any person arising out of in connection with the Site or these terms exceed the sum of US$50,000 (fifty thousand US dollars). 

5.4 Nothing in these terms shall be construed as a limitation or exclusion of any liability which by law may not be limited or excluded. 

6. DATA PROTECTION 

6.1 Hogan Lovells Cadwalader is the data controller with regard to personal data processed on the Site. In order to provide and maintain the Site, Hogan Lovells Cadwalader will store on the Site your name, employment history while at Cadwalader, email address and current organization name, together with any other information you may provide in your profile. We use the email address to grant access to the Site and set up content permission groups. You have the option to add additional information if you so wish. The Site will give you the ability to manage your own privacy settings, so you can always choose which pieces of data you would like to share. 

6.2 Your contact details will be held securely on a database at Hogan Lovells Cadwalader and will enable us to stay in touch with you and to allow other current and former Hogan Lovells Cadwalader people and Cadwalader alumni to get in touch with you. Addresses, email addresses and other personal details supplied on this Site will be used for the purposes of communicating with you regarding Hogan Lovells Cadwalader Alumni related topics, including event invitations, updates and firm news. In some cases data provided on the Site may also be used for statistical analysis but always in an aggregated format, in a manner which does not allow individual identification. 

6.3 The database is accessible by all our offices, including offices outside the European Economic Area (EEA) where the level of legal protection for your personal data may not be as comprehensive as in the EEA. We will not disclose any personal information you provide to third parties unconnected with Hogan Lovells Cadwalader without your consent, except to some of our service providers (e.g. Vuture) who are bound to confidentiality obligations or as otherwise permitted by the relevant data protection legislation. 

6.4 We use cookies to analyze use of the Site. We also generate reports on use. These may track which Members accessed, downloaded or printed particular Material and at what time. We use these reports in order to determine that the Site is being correctly used in accordance with these terms. 

6.5 You have certain rights regarding your personal data. These include rights to access your personal data, correct the data we hold about you, and in some circumstances to erase your personal data or to restrict or object to our use of it. You also have the right to receive your personal data in a usable electronic format and transmit it to a third party. If you would like to discuss or exercise any of these rights, please contact Hogan Lovells Cadwalader's Data Protection Officer at dpo@hlc.com. As an alternative, you have the right to lodge a complaint with your local data protection authority.

7. THIRD PARTIES 

No part of these terms may be enforced by any person who is not a party to the terms, whether under the Contracts (Rights of Third Parties) Act 1999 or otherwise.

8. NOTICES

Any notice to be sent to Hogan Lovells Cadwalader for the purposes of these terms should be addressed to the General Counsel, Hogan Lovells Cadwalader International LLP, Atlantic House, Holborn Viaduct, London EC1A 2FG.

9. LAW AND JURISDICTION

Where Members are located in North, South or Central America, these terms are governed by the law of the State of New York, USA (without regard to conflict of law principles), and the parties hereto expressly submit to the exclusive jurisdiction of the courts of the State of New York for the purposes of any dispute arising out of or in connection with these terms. In all other cases these terms shall be governed by the law of England & Wales, and the parties expressly submit to the exclusive jurisdiction of the courts of London, England for the same purposes.  

10. CHANGES TO THESE TERMS 

We will occasionally amend these terms to reflect changes in the law or feedback from the firm or Hogan Lovells Cadwalader Alumni. If we make any material changes in the way we collect, use, and/or share the personal information that you have voluntarily provided, we will notify you by posting notice of the changes in a clear and conspicuous manner on the Site.
